IMPORTANT – READ CAREFULLY

This Software License Agreement (“Agreement”) is a legal agreement between you (either an individual or a legal entity, hereinafter referred to as “Licensee” or “You”) and Marine Solutions SDGroup (“Licensor” or “We”), governing your use of the Marine Survey software application (“Software”). By installing, copying, downloading, accessing, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.

1. DEFINITIONS

1.1 Software – refers to the Marine Survey software application, including its Personal and Corporate versions, all updates, modifications, enhancements, and any accompanying documentation.

1.2 Personal Version – a version of the Software licensed to individual users for personal or professional use, activated through a yearly subscription for a single device.

1.3 Corporate Version – a version of the Software licensed to shipping companies for installation on vessels or company-owned computers, with licenses acquired through direct purchase via email communication.

1.4 License Key – a unique code that activates the Software for use on a single device.

1.5 Device ID – a unique identifier of the computer where the Software is installed and activated.

1.6 Payment Processor – a third-party system that handles payment transactions for Software licenses – www.fondy.ua

1.7 Support Email – technical support is available via email at support@marinesurv.com

1.8 Sales Email – inquiries regarding corporate licenses can be sent to sales@marinesurv.com

2. GRANT OF LICENSE

2.1 Personal Version License

• The Licensor grants the Licensee a non-exclusive, non-transferable, revocable license to install and use one copy of the Private Version of the Software on a single computer.

• The license is valid for one (1) year from the date of purchase and must be renewed annually to continue usage.

2.2 Corporate Version License

• The Corporate Version is available for purchase by shipping companies for installation on company-owned computers or vessels.

• A representative of the company must contact sales@marinesurv.com via form on website www.msdmarine.com to request licenses, after which a payment link will be provided.

• Upon successful payment, the Licensee will receive the agreed number of License Keys for activation on respective company-owned computers.

• Each license permits installation on one (1) device only.

2.3 Restrictions

• The Licensee may not sublicense, distribute, rent, lease, sell, or transfer the Software or any portion thereof.

• The Software may not be reverse-engineered, decompiled, or disassembled, except as explicitly permitted by applicable law.

• The Licensee is prohibited from sharing, copying, or using License Keys beyond the permitted number of installations.

3. LICENSE ACTIVATION AND PAYMENT

3.1 Personal Version License Purchase

• Users purchase a one-year license through an integrated payment system within the Software.

• The Software does not store payment information; transactions are processed securely through a third-party Payment Processor - www.fondy.ua

• Upon successful payment, the Licensee receives a License Key linked to their Device ID and email address.

3.2 Corporate Version License Purchase

• Companies request licenses via {sales@marinesurv.com} and receive a payment link.

• Upon successful payment, License Keys are issued corresponding to the number of licenses purchased.

3.3 License Renewal

• Private Version licenses must be renewed annually through the same payment system – www.fondy.ua

• Corporate licenses require a new purchase upon expiration unless otherwise agreed.

4. INTELLECTUAL PROPERTY RIGHTS

• 4.1 The Software and all associated copyrights, trademarks, and intellectual property are the sole property of the Licensor.

• 4.2 The Licensee acquires no ownership rights to the Software, only a limited right to use it in accordance with this Agreement.

5. DATA COLLECTION & PRIVACY

• 5.1 The Software does not store or process credit card details. All payments are handled by a third-party Payment Processor – www.fondy.ua

• 5.2 The Licensor collects and stores the Licensee's email, Device ID, License Key, and purchase date solely for license management purposes.

• 5.3 The Licensee acknowledges that their data may be used for support, fraud prevention, and license verification.

6. WARRANTY DISCLAIMER

• 6.1 THE SOFTWARE IS PROVIDED 'AS IS' WITHOUT WARRANTY OF ANY KIND. THE LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

• 6.2 THE LICENSOR DOES NOT GUARANTEE THAT THE SOFTWARE WILL BE ERROR-FREE OR THAT IT WILL FUNCTION WITHOUT INTERRUPTION.

• 6.3 THE LICENSEE ASSUMES ALL RISK RELATED TO THE USE OF THE SOFTWARE.

7. LIMITATION OF LIABILITY

• 7.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OR INABILITY TO USE THE SOFTWARE.

• 7.2 IN NO EVENT SHALL THE LICENSOR'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY THE LICENSEE FOR THE SOFTWARE LICENSE IN THE PAST TWELVE (12) MONTHS

8. TERMINATION

• 8.1 The Licensor reserves the right to terminate this Agreement and revoke the License Key if the Licensee violates any terms herein.

• 8.2 Upon termination, the Licensee must uninstall the Software and discontinue use immediately.

9. GOVERNING LAW

• 9.1 This Agreement shall be governed by and construed in accordance with the laws of Ukraine without regard to its conflict of laws principles.

• 9.2 Any disputes arising under this Agreement shall be resolved through arbitration or in the courts of Ukraine.

10. GENERAL PROVISIONS

• 10.1 Entire Agreement – This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.

• 10.2 Severability – If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.

• 10.3 No Waiver – Failure by the Licensor to enforce any right shall not be deemed a waiver of such rights.

• 10.4 Modifications – The Licensor reserves the right to update this Agreement at any time, with changes becoming effective upon posting within the Software or on our website.

By installing or using the Software, you acknowledge that you have read, understood, and agreed to the terms of this Agreement.
